Transactional work
Principal employment advisor on numerous significant (multi-million£) transactions, (M&A, outsourcing, purchasing, in-sourcing etc). Drafting and negotiating employment provisions and indemnities for APA’s, MSA’s etc.  Advice regarding application of Acquired Rights Directive throughout EU, (including TUPE and similar legislation in France, Germany, Italy, Spain etc). Exploring creative options to achieve commercial deal objectives. Assisting with employee consultation and communication throughout EMEA. Advising regarding employee concerns re transfer.

Projects
Advising senior company leaders in North America, Europe and the UK regarding impact of global projects in the UK and Europe, for example: implementation of global HR policies and procedures; restructuring and compensation & benefit initiatives.

General Employment advice (contentious & non-contentious)
Providing daily assistance to the HR and employment relations teams covering the whole spectrum of the employment field, including disciplinary and grievance issues, contractual issues, employee com
munications, termination of employment and Tribunal Claims, including unfair dismissal, discrimination, breach of contract etc.

Employee Benefits
Advising on benefit issues including: bonus schemes; sales compensation; benefit documentation; company car schemes. Devising flexible benefits scheme rules. Advising regarding withdrawal or changes to contractual benefits. Working with pension experts regarding “defined benefit” and “defined contribution” schemes.


Significant projects

Sale of Nortel’s UMTS Access business. Global £multi-million transaction. Drafted and negotiated all employment relates terms and conditions covering multiple jurisdictions and regions (Europe, Asia-pacific and North America) relating to in excess of 1,500 employees, including advising regarding issues with Works Councils in France, Spain and Italy.
Reviewing global e-monitoring practices & drafting comprehensive global e-monitoring policy.
Redrafting UK flexible benefits scheme and scheme rules. Reviewing all UK employee benefits documents.
Advising regarding partial withdrawal of company car benefits.
Devising plan for and advising regarding closure of one of three principal UK sites.
Revising global Relocation, Expatriate and Localisation policies.
Seminars for senior managers on Managing Employees Legally and Business Ethics.
Enforcement of Company Restrictive Covenants regarding departing employees.
Drafting bonus scheme for employees based in Middle East.
